- ACCEPTANCE OF TERMS
By accessing and using Codixflow’s website, services, and products, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. We reserve the right to modify these terms at any time, and your continued use of our services following any modifications constitutes your acceptance of the updated terms.
- SERVICES DESCRIPTION
Codixflow (“Company,” “we,” “us,” or “our”) provides web design, website development, website maintenance, and related digital services (“Services”). Our Services include but are not limited to:
- Custom website design and development
- Website maintenance and support packages
- Website optimization and performance improvement
- Content management system (CMS) setup and configuration
- Search engine optimization (SEO) services
- E-commerce integration and setup
- Website hosting and domain services
- Digital marketing and analytics services
- Custom integrations and API development
The specific services provided will be detailed in the project scope or service agreement between Codixflow and the client.
- CLIENT RESPONSIBILITIES
As a client of Codixflow, you agree to:
- Provide accurate, complete, and truthful information during the consultation and onboarding process
- Provide all necessary content, images, logos, and materials required for the project in a timely manner
- Ensure that all content provided is original or that you have the legal right to use it
- Review work deliverables promptly and provide feedback within agreed timeframes
- Pay all invoices and fees according to the agreed payment terms
- Comply with all applicable laws and regulations
- Not use our Services for any illegal, harmful, or unethical purposes
- Maintain confidentiality of any sensitive business information shared with us
- INTELLECTUAL PROPERTY RIGHTS
4.1 Ownership of Work
Upon full payment of all fees, Codixflow transfers ownership of the final website design and custom code developed specifically for your project to you, the client. However, Codixflow retains ownership of:
- Pre-existing templates, themes, and frameworks used in the project
- General methodologies, processes, and best practices
- Code libraries and components developed before or outside of your project
- Any third-party software, plugins, or tools integrated into your website
4.2 Client Content
You retain ownership of all content you provide to Codixflow, including text, images, videos, and any other materials. You grant Codixflow a license to use this content solely for the purpose of completing your project.
4.3 Codixflow Portfolio Use
Codixflow reserves the right to display your completed website in our portfolio, case studies, and marketing materials unless you explicitly request otherwise in writing. We will credit your business and link to your website when applicable.
- PAYMENT TERMS
5.1 Pricing and Fees
All pricing is in USD unless otherwise stated. Codixflow will provide a detailed quote or invoice outlining all fees before commencing work. Prices are valid for 30 days from the date of the quote.
5.2 Payment Schedule
- Design Projects: A 50% deposit is required to begin work, with the remaining 50% due upon project completion
- Maintenance Plans: Full payment is due at the beginning of each billing cycle
- Additional Services: Payment terms will be specified in the service agreement
5.3 Late Payments
Invoices are due within 30 days of the invoice date unless otherwise agreed. Late payments may result in:
- Suspension of Services
- A late fee of 1.5% per month on the outstanding balance
- Legal action to recover the debt
- Removal of your website from our servers
5.4 Refunds
Refund requests must be made within 30 days of service commencement. Refunds are available if:
- We fail to meet agreed-upon deliverables
- Services are not performed as described
- You cancel before significant work has commenced
Refunds are not available for:
- Completed projects where you changed your mind
- Projects where you failed to provide necessary content or feedback
- Services already rendered
- PROJECT TIMELINE AND DELAYS
6.1 Delivery Timeline
Project timelines are estimates based on timely client feedback and content delivery. Codixflow will make reasonable efforts to meet agreed deadlines, but delays caused by client factors will extend the timeline accordingly.
6.2 Client-Caused Delays
If delays are caused by:
- Late content or information delivery
- Delayed feedback or approval
- Changes to project scope
Codixflow will adjust the delivery date accordingly. Additional rush fees may apply if you request expedited completion.
6.3 Force Majeure
Codixflow is not responsible for delays caused by circumstances beyond our reasonable control, including natural disasters, pandemics, internet outages, third-party service failures, or government actions.
- REVISIONS AND CHANGES
7.1 Included Revisions
The number of revision rounds included varies by package:
- Startup Plan: Unlimited revisions within the original scope
- Professional Plan: Unlimited revisions within the original scope
- Enterprise Plan: Unlimited revisions and consultation
7.2 Out-of-Scope Changes
Changes that significantly expand the original project scope may incur additional fees. Scope creep will be addressed through written change orders detailing additional costs and timeline adjustments.
7.3 Revision Timeline
Revisions must be requested within 10 business days of receiving the initial deliverable. Requests after this period may incur additional charges.
- HOSTING AND DOMAIN SERVICES
8.1 Hosting Included
Design packages include complimentary hosting for:
- Startup Plan: 3 months
- Professional Plan: 6 months
- Enterprise Plan: As specified in the agreement
After the complimentary period, hosting costs approximately $10-50 per month depending on requirements.
8.2 Domain Registration
Codixflow will register your domain on your behalf using your chosen registrar. You remain the domain owner. Annual renewal costs are approximately $10-15 per year.
8.3 Hosting Provider Transfer
You have the right to transfer your hosting to another provider at any time. Codixflow will provide all necessary files and database backups to facilitate the transfer.
8.4 Website Backups
Maintenance plans include automatic backups. Codixflow is not responsible for data loss if you choose to discontinue maintenance services without obtaining proper backups.
- WEBSITE MAINTENANCE AND SUPPORT
9.1 Maintenance Plan Coverage
Maintenance plans include the services specified in your chosen plan tier:
- Security monitoring and updates
- Backup services
- Content updates
- Bug fixes
- Performance optimization
- Technical support
9.2 Support Response Times
Response times vary by plan:
- Essential Plan: 24-48 hours
- Professional Plan: 4 business hours
- Enterprise Plan: Immediate (24/7)
Response times begin from when your support ticket is received during business hours.
9.3 Maintenance Plan Cancellation
Maintenance plans require 30 days written notice to cancel. Cancellation takes effect at the end of the current billing cycle. Upon cancellation, Codixflow will provide:
- Full website backup
- Database exports
- Transfer assistance to another provider
9.4 Emergency Support
Emergency support for critical website outages is available to Professional and Enterprise plan members. Emergency charges may apply for after-hours support outside your plan.
- LIMITED WARRANTY
10.1 Warranty of Services
Codixflow warrants that:
- Services will be performed in a professional and workmanlike manner
- The website will function as described
- Custom code will be free of known bugs upon delivery
- We will comply with all applicable laws
10.2 DISCLAIMER
EXCEPT AS EXPRESSLY STATED ABOVE, CODIXFLOW MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CODIXFLOW DOES NOT GUARANTEE:
- Specific search engine rankings
- Website uptime (except as specified in Enterprise SLAs)
- Specific traffic or revenue results
- Compatibility with all browsers or devices
- Freedom from third-party claims
10.3 Limitation of Liability
EXCEPT FOR BREACHES OF CONFIDENTIALITY OR INDEMNIFICATION OBLIGATIONS, CODIXFLOW’S LIABILITY IS LIMITED TO THE FEES PAID IN THE LAST 12 MONTHS. CODIXFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR BUSINESS INTERRUPTION.
- SECURITY AND DATA PROTECTION
11.1 Website Security
Codixflow implements industry-standard security measures, including SSL encryption, malware scanning, and regular security updates. However, no system is completely secure. We are not responsible for unauthorized access resulting from:
- Client negligence
- Weak passwords
- Client’s failure to update credentials
- Third-party attacks
11.2 Data Privacy
Personal data collected through your website is governed by:
- Your website’s Privacy Policy
- Applicable data protection laws (GDPR, CCPA, etc.)
- Our Privacy Policy
Codixflow does not share client data with third parties except as required by law or with your explicit consent.
11.3 Client Data Responsibility
You are responsible for:
- Maintaining confidentiality of admin credentials
- Regularly backing up website data
- Implementing your own data protection measures
- Complying with data protection regulations
- THIRD-PARTY SERVICES AND TOOLS
12.1 Third-Party Integrations
Your website may integrate with third-party services (payment processors, email services, analytics tools, etc.). Codixflow is not responsible for:
- Service outages or failures
- Data breaches at third-party services
- Changes to third-party APIs or policies
- Charges from third-party providers
12.2 Open Source Software
Your website may use open-source software and plugins. These are licensed under their respective licenses. You agree to comply with all open-source license terms.
12.3 Third-Party Terms
Your use of integrated third-party services is governed by their terms of service, not this agreement.
- PROHIBITED USES
You agree not to use our Services to:
- Create websites for illegal activities or content
- Engage in fraud, deception, or phishing
- Distribute malware, viruses, or harmful code
- Violate intellectual property rights
- Harass, threaten, or abuse others
- Spam or send unsolicited communications
- Violate any applicable laws or regulations
- Engage in any activity that could harm our servers or services
- Reverse engineer or attempt to access our proprietary systems
Violation of these terms may result in immediate termination of Services and potential legal action.
- TERMINATION
14.1 Termination by Codixflow
Codixflow may terminate Services if:
- You violate these Terms of Service
- Payment is more than 30 days overdue
- Your website is used for illegal or harmful purposes
- We cannot provide Services due to legal or regulatory requirements
- Project budget is exceeded due to client changes
14.2 Termination by Client
You may terminate Services by providing 30 days written notice. Upon termination:
- You remain responsible for all accrued fees
- Codixflow will provide website files and backups
- We will assist with transfer to another provider
- Maintenance services will cease
14.3 Effects of Termination
Upon termination:
- All access to admin panels and accounts will be revoked
- We will remove your data from our servers after 60 days unless otherwise agreed
- Any unpaid fees remain due
- Survival clauses continue as specified
- INDEMNIFICATION
You agree to indemnify and hold harmless Codixflow from any claims, damages, losses, and expenses (including legal fees) arising from:
- Your use of our Services
- Violation of these Terms of Service
- Infringement of intellectual property rights by content you provided
- Violation of any applicable laws
- Third-party claims related to your website
- CONFIDENTIALITY
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement, including:
- Business strategies and plans
- Customer lists and contact information
- Technical specifications
- Financial information
- Proprietary methodologies
Confidentiality obligations do not apply to information that:
- Is publicly available
- Is independently developed
- Is required to be disclosed by law
- Is already known without confidentiality obligations
- DISPUTE RESOLUTION
17.1 Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Pakistan, without regard to its conflict of law principles.
17.2 Arbitration
Any dispute arising out of or relating to these Terms of Service shall be resolved through binding arbitration. Each party waives the right to pursue litigation in court, except for claims involving intellectual property or confidentiality.
17.3 Mediation
Before arbitration, the parties agree to attempt resolution through good faith negotiation and mediation.
17.4 Attorney’s Fees
The prevailing party in any dispute is entitled to recover reasonable attorney’s fees and costs.
- GENERAL PROVISIONS
18.1 Entire Agreement
These Terms of Service constitute the entire agreement between the parties regarding your use of Codixflow’s Services and supersede all prior agreements and understandings.
18.2 Amendments
Codixflow reserves the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to the website. Continued use of Services constitutes acceptance of modified terms.
18.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be severed, and the remaining provisions will continue in full force and effect.
18.4 Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
18.5 Assignment
Codixflow may assign these Terms and your account to another entity without notice. You may not assign these Terms without Codixflow’s written consent.

- PAYMENT METHODS
Codixflow accepts payments through:
- Credit/Debit Cards (via Paddle payment processor)
- Bank Transfers
- PayPal
- Other methods as specified in invoices
All payments are processed securely and in compliance with PCI-DSS standards.
- INTELLECTUAL PROPERTY INFRINGEMENT
If you believe your intellectual property rights have been infringed through our Services, please notify us immediately with:
- Description of the infringing content
- Your evidence of ownership
- Your contact information
- A statement made under penalty of perjury
Codixflow will investigate and take appropriate action.
ACKNOWLEDGMENT
By using Codixflow’s Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
